1Scope and Separate Employment Agreements
Professionals, applicants, and Tempo employees may use the mobile app or professional web portal to create accounts, manage profiles, review opportunities, communicate with Tempo, and coordinate assignment activity.
Your application, onboarding, employment, and assignment activity may also be governed by employment documents, handbook policies, onboarding materials, arbitration agreements, or other written terms. If one applies, it controls the subject matter it covers.
2Eligibility and Account Use
You must be at least 18 and must provide accurate, current, and complete information.
You are responsible for keeping login credentials secure. Do not share credentials, allow unauthorized access, impersonate another person, or use another person's account. Notify Tempo promptly if you suspect unauthorized access or misuse.
3Privacy and Communications
Tempo's collection, use, sharing, retention, and protection of personal information is described in Tempo's Privacy Policy.
Tempo may communicate by email, phone, voicemail, SMS/MMS, push notification, app message, portal message, chat, scheduling tool, or other electronic means for account, application, onboarding, credentialing, staffing, assignment, employment administration, payroll, support, and related business purposes. Professionals and applicants are responsible for keeping contact information current and monitoring Tempo communications.
4Staffing-Related Communication Only; No PHI
Tempo's platform and communication channels are for staffing-related communication only. Professionals and applicants should not submit patient names, patient records, treatment details, diagnoses, x-rays, medical histories, billing records, or other protected health information ("PHI") through Tempo's systems unless specifically authorized in writing and permitted by law.
5Professional and Applicant Terms
By submitting an application, profile, credential, document, message, or other information, you represent that the information is true, accurate, current, and complete to the best of your knowledge.
Submitting an application, creating an account, completing onboarding, or accepting communications does not guarantee employment, an interview, an assignment, a particular schedule, a particular rate, continued opportunities, or placement with any client.
Dental professionals hired and assigned through Tempo are W-2 employees of Tempo. Tempo administers payroll, wage reporting, tax withholding, employment documentation, and related W-2 employment administration for those employees.
Professionals are responsible for maintaining required licenses, certifications, credentials, availability, and accurate contact information. Assignments may be subject to credential review, reference checks, background screening authorization, work eligibility requirements, onboarding requirements, client requirements, and other eligibility requirements determined by Tempo or required by law.
A staffing opportunity is not guaranteed unless confirmed by Tempo through the app, portal, email, text, phone, or other communication method. Professionals are responsible for monitoring Tempo communications and submitting, confirming, and correcting time and assignment-related information according to Tempo's instructions and applicable policies.
If you are hired by Tempo, your employment may also be governed by separate employment documents, onboarding materials, policies, handbook provisions, arbitration agreements, or other written terms. If these Terms conflict with a signed employment document or handbook policy, that document or policy controls the employment matter it covers.
6Platform Rules
Use the platform only for lawful, authorized, staffing-related purposes.
Do not provide false, misleading, incomplete, unauthorized, or impersonated information.
Do not access another account without authorization, share login credentials, bypass security controls, introduce harmful code, scrape data, interfere with the platform, reverse engineer systems, or misuse Tempo's technology or communications.
Do not copy, publish, forward, distribute, benchmark, or use Tempo's confidential client bill rates, nonpublic service terms, platform content, business materials, or staffing procedures for competitive, agency, recruiting, lead-generation, or other unauthorized purposes. Nothing in these Terms prohibits employees from discussing their own wages, hours, or working conditions or engaging in activity protected by applicable law.
Do not use the platform to harass, discriminate, threaten, abuse, mislead, defraud, or violate the rights of Tempo, clients, professionals, patients, or third parties.
7Tempo Content, Professional Submissions, and Third-Party Technology
Tempo's name, logo, app, portal, website, platform content, workflows, forms, copy, designs, trademarks, service marks, business materials, and related intellectual property are owned by Tempo or its licensors and may not be copied, modified, distributed, or used without written permission except as allowed through authorized platform use.
By uploading or submitting content, documents, credentials, profile information, messages, photos, or other materials, you authorize Tempo to use, process, and share those materials as reasonably necessary to operate the platform, evaluate applications, coordinate staffing, administer employment, support staffing services, comply with law, and enforce agreements, subject to Tempo's Privacy Policy.
Tempo may use third-party technology providers to operate, host, maintain, support, or improve the platform. Professional users may not access, copy, interfere with, reverse engineer, misuse, or attempt to bypass any part of the platform or related systems.
8Suspension, Availability, and Disclaimers
Tempo may suspend, restrict, remove, or terminate platform access if Tempo believes a professional user has violated these Terms, provided inaccurate information, created risk, misused the platform, or acted in a way that may harm Tempo, users, third parties, or the integrity of the platform.
The platform and related technology services are provided on an "as is" and "as available" basis. Tempo does not warrant that the platform will be uninterrupted, error-free, secure, or free of harmful components.
Tempo does not guarantee assignment availability, client demand, employment, continued employment, placement, or any specific staffing outcome.
9Limitation of Liability
To the fullest extent permitted by law, Tempo will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, loss-of-business, loss-of-goodwill, data-loss, or business-interruption damages arising out of or relating to these Terms or platform use.
Separate written agreements, including employment documents, handbook provisions, or other written terms provided by Tempo, may contain different rights, obligations, limitations, or remedies for the matters they cover. Nothing in these Terms limits rights or obligations that cannot be limited under applicable law.
10Governing Law, Updates, and Electronic Acceptance
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Separate written agreements may provide different dispute-resolution, arbitration, venue, or governing-law terms for specific relationships or services.
Tempo may update these Terms from time to time. Updates will be posted with a new "Last Updated" date. Material changes may be communicated by email, app or portal notice, website notice, or other appropriate means.
By clicking "Submit," "Apply," "Create Account," "I Agree," checking an acceptance box, providing an electronic signature, accessing the app or professional web portal, accepting assignments, or otherwise using the platform, you acknowledge that you have read and understood these Terms, agree to be bound by these Terms, and acknowledge Tempo's Privacy Policy. Electronic acceptance and electronic signatures are intended to have the same force and effect as handwritten signatures.
